These Terms and Conditions govern the relationship between Muto Studio Digital SAS BIC («Muto Studio», «we», «us») and clients or users («you», «Client») accessing our services in Puerto Rico. By engaging our services or using our website, you agree to these terms in full. These terms comply with applicable U.S. federal law and Puerto Rico regulations.
Estos Términos y Condiciones regulan la relación entre Muto Studio Digital SAS BIC y los clientes o usuarios que acceden a nuestros servicios en Puerto Rico. Al contratar nuestros servicios o usar nuestro sitio web, usted acepta estos términos en su totalidad.
1. Services / Servicios
Muto Studio provides the following digital services to clients in Puerto Rico:
- Web design and development (WordPress, Shopify, WooCommerce, custom)
- Digital marketing (SEO, SEM, social media management, content creation)
- Branding and graphic design
- Software development and mobile applications
- AI implementation and marketing automation
- E-commerce solutions
- UX/UI design
The scope of each project is defined in a separate Service Agreement or Proposal, which forms part of these Terms and Conditions.
2. Payment Terms / Términos de Pago
- All services for Puerto Rico clients are billed in U.S. Dollars (USD).
- Payment is accepted via wire transfer (ACH), credit card, or other agreed methods. We maintain a U.S. bank account for seamless transactions.
- Project-based work typically requires a 50% upfront deposit before work begins, with the remaining balance due upon project completion.
- Monthly retainers are billed on the 1st of each month and are due within 5 business days.
- Late payments (over 10 business days) may incur a 1.5% monthly fee on the outstanding balance.
- Muto Studio reserves the right to pause or suspend services for accounts with overdue balances exceeding 15 days.
3. Deliverables and Timelines / Entregables y Plazos
Timelines and deliverables are specified in each project proposal. General guidelines:
- Website development: 4–8 weeks depending on scope
- Branding / logo design: 3–6 weeks
- Marketing campaigns: launch within 2 weeks of signed agreement
- Software development: timeline defined per project
Timelines may be affected by delays in client feedback, content delivery, or third-party dependencies. Muto Studio will communicate any timeline adjustments promptly.
4. Intellectual Property / Propiedad Intelectual
- Upon full payment, the Client receives ownership of all custom deliverables created specifically for their project (logos, website design, custom code).
- Muto Studio retains ownership of pre-existing tools, frameworks, templates, and proprietary methodologies used in delivering services.
- Muto Studio reserves the right to display completed work in its portfolio and marketing materials, unless otherwise agreed in writing.
- Third-party assets (stock images, fonts, plugins) are subject to their respective license agreements. Muto Studio will specify any licensing requirements.
5. Confidentiality / Confidencialidad
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation remains in effect for 2 years after the termination of services. Muto Studio will not share client business information, strategies, or data with third parties without written consent, except as required by law.
6. Cancellation and Termination / Cancelación y Terminación
- Either party may terminate services with 30 days written notice.
- Work completed up to the date of termination will be billed and is payable by the Client.
- Deposits are non-refundable once work has commenced.
- Muto Studio may terminate services immediately in cases of non-payment, breach of these terms, or conduct that is harmful to our team or reputation.
- Upon termination, Muto Studio will deliver all completed work assets to the Client within 10 business days, subject to outstanding payment being settled.
7. Limitation of Liability / Limitación de Responsabilidad
To the maximum extent permitted by U.S. federal law and Puerto Rico regulations:
- Muto Studio’s total liability for any claim arising from our services shall not exceed the total amount paid by the Client in the 3 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We do not guarantee specific rankings in search engines, specific social media growth numbers, or specific advertising ROI, as these depend on market conditions beyond our control.
- Muto Studio is not responsible for third-party platform changes (Google, Meta, Instagram, etc.) that may affect campaign performance.
8. Governing Law and Jurisdiction / Ley Aplicable y Jurisdicción
These Terms and Conditions for Puerto Rico clients are governed by the laws of the United States of America and the Commonwealth of Puerto Rico. Any disputes that cannot be resolved amicably shall be submitted to the jurisdiction of the courts of Puerto Rico or applicable U.S. federal courts. Both parties agree to attempt good-faith mediation before pursuing litigation.
9. Email Communications / Comunicaciones por Email
In compliance with the CAN-SPAM Act, all marketing emails from Muto Studio include a clear unsubscribe option. We honor opt-out requests within 10 business days. Transactional emails related to active services may still be sent after unsubscribing from marketing communications.
10. Modifications / Modificaciones
Muto Studio reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes via email at least 15 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated terms.
