These Terms and Conditions (“Terms”) govern the relationship between Muto Estudio Digital S.A.S. BIC (“Muto Studio,” “we,” “our,” or “us”) and any client, customer, or user (“Client,” “you,” or “your”) who accesses our website or engages our services within the United States.

By accessing our website, requesting a proposal, purchasing services, or otherwise engaging with Muto Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Services

Muto Studio provides professional digital services, including but not limited to:

Website Design & Development (WordPress, Shopify, WooCommerce, Custom Development)
Digital Marketing
Search Engine Optimization (SEO)
Paid Advertising (Google Ads, Meta Ads, LinkedIn Ads and others)
Social Media Management
Content Marketing
Branding & Graphic Design
Software Development
Mobile Application Development
AI Solutions & Marketing Automation
UX/UI Design
eCommerce Solutions

The scope, deliverables, pricing, and timeline for each engagement are defined in the corresponding Proposal, Statement of Work (SOW), or Service Agreement, which forms an integral part of these Terms.

2. Payment Terms

Unless otherwise agreed in writing:

All prices are quoted in U.S. Dollars (USD).
Payments may be made by ACH, wire transfer, credit card, or other approved payment methods.
Project-based services generally require a 50% advance payment before work begins, with the remaining balance due according to the agreed project milestones or upon completion.
Monthly service agreements are invoiced at the beginning of each billing cycle and are payable within five (5) business days.
Overdue invoices may incur a 1.5% monthly late fee, or the maximum rate permitted by applicable law.
Muto Studio reserves the right to suspend ongoing work when invoices remain unpaid for more than 15 calendar days.

3. Deliverables and Timelines

Estimated delivery times vary depending on project scope.

Typical timelines include:

Project schedules may change due to:

Delays in client approvals
Missing content or assets
Requested scope changes
Third-party dependencies
Force majeure events

Whenever possible, Muto Studio will notify the Client of any schedule adjustments.

4. Intellectual Property

Unless otherwise agreed:

Ownership of custom deliverables transfers to the Client upon full payment.
Muto Studio retains ownership of its proprietary methodologies, frameworks, internal tools, reusable code libraries, templates, and know-how.
Third-party software, plugins, stock assets, fonts, APIs, and licensed materials remain subject to their respective license agreements.
Muto Studio may showcase completed projects in its portfolio unless otherwise agreed in writing.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and non-public information exchanged during the engagement.

This obligation remains effective for two (2) years following termination of the business relationship unless otherwise required by law.

6. Cancellation and Termination

Either party may terminate an ongoing agreement by providing 30 days’ written notice, unless a different notice period is specified in the applicable Service Agreement.

Upon termination:

The Client remains responsible for payment of all completed work.
Deposits are non-refundable once work has commenced.
Muto Studio may suspend or terminate services immediately for material breach, abusive conduct, fraudulent activity, or non-payment.
Upon settlement of all outstanding invoices, completed deliverables will be transferred to the Client.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

Muto Studio’s total liability shall not exceed the total fees paid by the Client during the three (3) months preceding the event giving rise to the claim.
Muto Studio shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, business interruption, goodwill, or data.
We do not guarantee specific search engine rankings, advertising performance, lead volume, conversion rates, or return on investment.
We are not responsible for changes made by third-party platforms, including but not limited to Google, Meta, LinkedIn, Shopify, WordPress, or other technology providers.

8. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws specified in the applicable Service Agreement or, where no jurisdiction has been expressly agreed, the laws applicable to the contractual relationship between the parties.

Before initiating legal proceedings, both parties agree to make reasonable efforts to resolve disputes through good-faith negotiation and, where appropriate, mediation.

9. Electronic Communications

By providing your contact information, you consent to receive service-related communications from Muto Studio.

Marketing communications will comply with applicable U.S. laws, including the CAN-SPAM Act, and will include a clear unsubscribe mechanism.

Operational communications related to active projects may continue regardless of marketing preferences.

10. Changes to These Terms

Muto Studio reserves the right to update these Terms at any time.

Material changes will become effective upon publication on this website or as otherwise communicated to clients.

Continued use of our website or services after such updates constitutes acceptance of the revised Terms.
